• You have the full legal authority to enter into this agreement.
• Your use of the Platform complies with all applicable laws and regulations.
• You have read and understood these Terms in full.

If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

Hive X is a software-as-a-service (SaaS) platform designed for digital agencies and businesses to manage marketing, advertising, analytics, and client data across multiple third-party integrations (e.g., Meta, Google, TikTok, LinkedIn).

The Platform provides tools for campaign management, data visualization, performance reporting, and team collaboration.

We may add, modify, or remove features at our sole discretion without prior notice.

4. Account Registration and Security

• You must register an account using a valid email address and password or through a third-party login (e.g., Google, Meta).
• You are responsible for maintaining the confidentiality of your login credentials.
• You must immediately notify us of any unauthorized use of your account.
• Hive X shall not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard credentials.
• You may not impersonate another user, use fake information, or share your account with others without permission.

5. Acceptable Use Policy

Users agree not to:

• Use the Platform for any unlawful, harmful, or fraudulent activity.
• Attempt to breach, test, or interfere with the security of the Platform.
• Reverse-engineer, copy, or decompile any part of the Platform's source code.
• Upload malicious files, viruses, or scripts that may harm the system.
• Use automated systems (bots, scrapers) to extract data without permission.
• Misuse third-party API connections or access data beyond what is authorized.

Violation of this policy may result in immediate suspension or termination of access without refund.

6. Intellectual Property Rights

All intellectual property rights in the Platform and its content (including design, code, databases, logos, and trademarks) are owned by Hive X or its licensors. Nothing in these Terms grants you any ownership rights.

You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your business purposes in accordance with these Terms.

You may not copy, distribute, sell, sublicense, or exploit any portion of the Platform without our express written consent.

7. Third-Party Integrations

Hive X integrates with third-party platforms (such as Meta Ads, Google Ads, TikTok Ads, and others). By connecting such accounts, you authorize Hive X to access and display data as permitted by those platforms' APIs.

Hive X is not affiliated with or endorsed by any third-party provider and assumes no responsibility for their availability, data accuracy, or performance. You remain bound by the respective terms of those platforms.

8. Data Protection and Privacy

Our handling of user and client data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection and use of information as described therein.

Hive X complies with applicable data protection laws, including the GDPR (EU), CCPA (California), PDPA (Thailand), UK GDPR, and the Israeli Privacy Protection Law, 1981.

9. Payment and Subscription

Some features of the Platform may require payment or subscription. Prices and billing cycles are displayed prior to checkout.

• Payments are processed through secure third-party providers (e.g., Stripe, Paddle, PayPal).
• All fees are non-refundable except as required by law.
• Failure to pay may result in suspension or termination of service.
• Hive X reserves the right to modify pricing upon prior notice.

10. Service Availability

We aim to provide continuous availability of the Platform; however, we do not guarantee uninterrupted or error-free operation. Maintenance, updates, or network issues may cause temporary downtime. Hive X shall not be liable for any loss of data or business interruption resulting from such events.

11. Limitation of Liability

To the maximum extent permitted by law:

• Hive X, its affiliates, and employees shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform.
• We do not guarantee the accuracy, completeness, or reliability of any data displayed.
• Your sole remedy for dissatisfaction is to stop using the Platform.
• In jurisdictions that do not allow such exclusions, liability shall be limited to the amount paid by you in the previous 12 months.

You agree to indemnify and hold Hive X, its affiliates, and employees harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, breach of these Terms, or violation of any law or third-party rights.

13. Termination and Suspension

Hive X may suspend or terminate your account without notice if:

• You violate these Terms.
• Your use harms or threatens system integrity or security.
• Required payments are not received.

Upon termination, your access will cease immediately, and Hive X may delete all associated data after a reasonable period.

14. Disclaimers

The Platform is provided "as is" and "as available." We make no warranties, express or implied, regarding its operation, performance, or fitness for a particular purpose. You acknowledge that use of the Platform is at your own risk.

15. Modifications to Terms

Hive X reserves the right to update or modify these Terms at any time. When significant changes are made, users will be notified via email or system message. Continued use after such notice constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of:

• The jurisdiction where Hive X is incorporated (currently Singapore), and
• The local laws applicable to users in their region, including Israel, the European Union, the United Kingdom, and the United States.

Any disputes shall be resolved in the competent courts of Singapore, without prejudice to mandatory protections under local law.
